Terms and Conditions
By applying to become a registered vendor for Brooke Holding Sdn Bhd (“Brooke Holding”), your company agrees to comply with the following terms and conditions:
- Vendors must be legally registered entities with the relevant regulatory authorities, such as the Companies Commission of Malaysia (SSM) for Bhd and Sdn Bhd entities, or other applicable bodies based on the nature of the business.
- Vendors must hold valid licenses and permits for the services or products they provide. This includes, but is not limited to, UPKJ (Unit Pendaftaran Kontraktor & Juruperunding) and PKK (Pusat Khidmat Kontraktor) licenses for government-related projects where applicable.
- For the Oil and Gas sector, vendors must be registered with Petronas via the Standardised Work and Equipment Categories (SWEC) system.
- For Civil Engineering services, vendors must be registered with both the Ministry of Finance (MOF) and the Construction Industry Development Board (CIDB).
- Vendors are required to maintain a paid-up capital of not less than RM100,000.00 in the form of “Ordinary Shares.”
- Financial statements should reflect stability and positive growth, with annual reports showing positive figures for at least the past two years.
- Brooke Holding reserves the right to request financial documents for verification at any stage of the registration process.
- Vendors must demonstrate technical capabilities, competency, and facilities to effectively deliver the products and services offered.
- Proven track records and experience in past projects, along with relevant references, must be provided upon request.
- Vendors must comply with all applicable local and international laws, regulations, and standards relevant to the industry, including tax obligations, employment laws, and safety regulations.
- Vendors are required to register with the relevant government agencies, statutory bodies, or other organizations as necessary for the services or products offered.
- Vendors seeking Bumiputera status must meet the qualifications in terms of shareholder equity, company directors, management, and staff as outlined by the Malaysian government’s Bumiputera requirements.
- All goods and services provided to Brooke Holding must meet the highest quality standards. Any defective or non-compliant products/services will be subject to return, replacement, or cancellation of the order, at the vendor’s expense.
- Vendors shall maintain strict confidentiality of all Brooke Holding’s proprietary information, business plans, data, and trade secrets disclosed or made available during the course of the business relationship.
- No confidential information shall be disclosed to any third party without the prior written consent of Brooke Holding.
- Vendors are expected to conduct their business with integrity, professionalism, and in a manner that reflects positively on Brooke Holding.
- All vendors must adhere to Brooke Holding’s code of ethics, including fair treatment, transparency, and avoidance of any form of corruption or bribery.
- Brooke Holding reserves the right to terminate or suspend the vendor’s registration at any time if the vendor fails to comply with these terms and conditions, provides false information, or engages in unethical business practices.
- Vendors may also be subject to suspension or removal from the vendor list if they fail to maintain their eligibility, financial stability, or quality standards.
- Vendors must maintain adequate insurance coverage for their operations, employees, and any liabilities arising from their products or services.
- Vendors agree to indemnify and hold Brooke Holding harmless from any claims, damages, or liabilities arising from the vendor’s actions, omissions, or negligence.
- Vendors must disclose any potential conflicts of interest that may arise during their business relationship with Brooke Holding.
- Vendors must refrain from engaging in any activities that could result in unfair competitive advantages or compromise Brooke Holding’s interests.
- Vendors must provide accurate and up-to-date information during the registration process, including business registration documents, licenses, certifications, and financial statements.
- Brooke Holding reserves the right to conduct periodic audits of the vendor’s operations, facilities, or financial status to ensure compliance with these terms and conditions.
- Brooke Holding reserves the right to amend, modify, or update these terms and conditions at any time without prior notice. Vendors will be notified of any changes, and continued registration will imply acceptance of the revised terms.
- These terms and conditions shall be governed by and construed in accordance with the laws of Malaysia. Any disputes arising from this agreement shall be resolved in the courts of Malaysia.
